1. השירות והמפעיל

EditorLM מופעל על ידי החברה שפרטיה מופיעים להלן (״אנחנו״). החברה התאגדה במדינת מסצ׳וסטס, ארצות הברית.

EditorLM מסייע לארגן ולעבד מקורות בסביבת ענן אישית, לחפש בהם ולעבוד עם כלי בינה מלאכותית ליצירת מסמכים המבוססים על מקורות. תנאים אלה חלים על האתר, החשבון ורכיבי EditorLM במסגרת הניסיון החינמי. בעת הפעלת הניסיון נבקש את אישורך לתנאים ונציג את מדיניות הפרטיות. תנאי ספקים חיצוניים חלים בנפרד על שירותיהם.

2. החשבון והניסיון

ההרשמה והפעלת הניסיון נעשות באתר באמצעות כתובת דואר מאומתת ובדיקות אבטחה. יש למסור פרטים נכונים, לשמור על הגישה לדואר ולחשבון ולהודיע לנו אם נחשף אמצעי כניסה. אם פועלים בשם ארגון, נדרשת הרשאה מתאימה.

לפני ההפעלה מוצגים משך הניסיון, הקצאת הקרדיטים והחבילות הכלולות. ההצעה שאישרת קובעת את תנאיך; הזמנה אישית או קוד קבוצה עשויים להציע תנאים אחרים. הכמות והמשך נקבעים בהצעה ולא במסמך זה. תאריך הסיום והיתרה מוצגים בחשבון. קרדיטים הם יחידות שימוש בשירותי EditorLM, אינם כסף ואינם ניתנים לפדיון כספי. הם אינם מכסת השימוש אצל ספק כלי הסוכן.

הניסיון אינו דורש כרטיס תשלום, אין בגינו חיוב אוטומטי והוא אינו הופך למנוי בתשלום בסיומו. תשלום לכלי סוכן חיצוני הוא נפרד. רכישה עתידית דרך Paddle דורשת פעולה והסכמה נפרדות לתנאי ההצעה בתשלום.

אין לעקוף את מגבלות הניסיון באמצעות הרשמות חוזרות, שימוש לא מורשה בהזמנות או בקודי קבוצה, או שיבוש מנגנוני האבטחה. בדיקת הזכאות אינה מבטיחה שניתן לזהות כל הרשמה חוזרת.

3. שימוש בקרדיטים, גישה ושימור

זמן המכונה בענן, הטמעה ופעולות OCR בתשלום צורכים מאותה יתרת קרדיטים לפי המחירון המוצג. גם שאילתת חיפוש סמנטי חדשה עשויה לדרוש הטמעה. הקרדיטים אינם הבטחה למספר שעות עבודה. לכל הקצאת מתנה נוספת עשוי להיות מועד תפוגה משלה; מתנה אינה מאריכה כשלעצמה את תקופת הגישה.

ביתרת אפס או ללא זכאות מתאימה אין הפעלה רגילה של סביבת הענן או גישה רגילה לקבצים דרך העורך. בסיום הניסיון פוקעת יתרת הניסיון שלא נוצלה; היא אינה מועברת לניסיון אחר. אין הבטחה שתהליך רב־שלבי שהתחיל לפני סיום הזכאות יושלם אחריו. אפשר לבקש הארכה או גישה נוספת; אישור אינו מובטח.

אחרי 30 דקות ללא פעילות עורך וללא עבודת רקע מוצגת התראה. אחרי 45 דקות בסך הכול הסשן מנותק, בכפוף לשמירת עריכות ולהיעדר עבודת רקע, והכיבוי הרגיל חל. צריכת זמן המכונה מסתיימת כשהכיבוי ושחרור משאבי המחשוב מאומתים, ולא בעצם סגירת הלשונית.

אחרי 48 שעות רצופות של כיבוי ושחרור משאבי מחשוב מאומתים, המכונה ודיסק המערכת נמחקים. הדיסק האישי נשמר לשחזור סביבת עבודה על מכונה חדשה; אין מדובר בגיבוי של דיסק המערכת.

נתוני ניסיון שלא הומר למנוי ושלא קיבל רישיון חינם מיועדים למחיקה לאחר 90 יום מסיום הניסיון, עם התראות 30 ו־7 ימים לפני המחיקה. סביבת ניסיון ריקה, שלא נוצר בה פרויקט ולא הועלה מקור, מיועדת למחיקה לאחר 7 ימים מסיום הניסיון, עם התראה אחת. בקשות והחזקות שימור נבחנות לפני מחיקה לפי מדיניות הפרטיות.

אפשר לפנות בבקשה משפטית מתועדת למסירת נתונים באמצעות מנהל גם ביתרת אפס או לאחר פקיעת הגישה, לפי מדיניות הפרטיות. מסלול זה אינו מחייב רכישה ואינו מקנה גישה רגילה לעורך. אין הבטחה לשחזור מידע שכבר נמחק כדין.

4. התוכן וההרשאות שלך

הבעלות והזכויות בתוכן שלך נשארות שלך או של בעלי הזכויות הרלוונטיים. לא נדרש להעביר לנו בעלות בתוכן. ככל שנחוץ להפעלת פעולה שבחרת או אישרת, את/ה מאפשר/ת את עיבוד התוכן הדרוש לאותה פעולה בהתאם למדיניות הפרטיות. אין בכך רישיון כללי לפרסום התוכן שלך.

באחריותך לוודא שמותר לך לעבד את החומר ולהעבירו לספקים המשתתפים בפעולה, לרבות כאשר מדובר במידע רפואי, מידע על לקוחות או תוכן חסוי. אל תשתף/י עם התמיכה מסמכים רגישים שאינם נחוצים לפנייה. עליך לשמור גיבוי משלך: שמירת הפרויקט בענן אינה תחליף לגיבוי עצמאי שלך.

אין להשתמש בשירות בניגוד לדין, לפגוע בזכויות אחרים, לגשת לחשבון ללא הרשאה או לשבש את השירות. רישיונות רכיבי צד שלישי וקוד פתוח ממשיכים לחול עליהם.

5. סביבת הענן וספקים חיצוניים

המקורות, הטקסט המעובד, המסמכים ואינדקס החיפוש נשמרים בסביבת Azure האישית שלך. בסיס נתוני החשבון ושירות הכישורים אינם מאגר מסמכי הפרויקט. לצורך הטמעה וחיפוש סמנטי נשלחים קטעי טקסט או שאילתות דרך שער EditorLM ל־OpenAI, והתוצאות המספריות נשמרות באינדקס בסביבה האישית. אישור השימוש הרלוונטי מאפשר תחזוקת הטמעה אוטומטית לאחר הוספה או תיקון של מקורות, בלי אישור נפרד לכל קובץ.

כאשר נדרש OCR, תוכן העמודים הנדרשים לזיהוי מועבר לשירות Azure Document Intelligence. המרה רגילה של טקסט שניתן לחלץ אינה כשלעצמה פעולת OCR בתשלום. עיבוד ספקים כפוף גם לתנאיהם ולמדיניות הפרטיות.

כלי הסוכן שבחרת, כגון Codex או כלי אחר, עשוי לעבד טקסט או תמונות באמצעות הספק שלו בהתאם להרשאות ולהגדרות שבחרת. חשבון EditorLM אינו מחליף את החשבון אצל אותו ספק. פירוט נוסף מופיע במדיניות הפרטיות.

6. בדיקת תוצאות וזמינות

המערכת וכלי הבינה המלאכותית עשויים לטעות, להשמיט מידע או להציג הפניה שאינה תומכת במסקנה. יש לבדוק תוצאות ומקורות לפני הסתמכות עליהם. המערכת אינה מחליפה ייעוץ מקצועי או שיקול דעת רפואי, משפטי או אחר.

הניסיון ניתן במתכונת בטא. ייתכנו תקלות, תחזוקה ושינויים, ואין התחייבות לזמינות רצופה או לתוצאה מסוימת. ככל שניתן, נודיע על שינוי מהותי או הפסקה צפויה. אין בתנאים אלה כדי לגרוע מאחריות או מזכויות שלא ניתן להתנות עליהן לפי הדין החל.

7. הפסקת שימוש ושינויים בתנאים

אפשר להפסיק להשתמש בשירות בכל עת ולפנות אלינו לסגירת החשבון. הסגירה מפסיקה את הגישה לשירות; הטיפול במידע לאחריה מתואר במדיניות הפרטיות. סגירת לשונית הדפדפן או סיום הניסיון לבדם אינם בקשה למחיקת החשבון.

נוכל להגביל או להשעות גישה עקב שימוש לרעה, סיכון אבטחה או חובה חוקית. ככל שהנסיבות מאפשרות, נמסור הסבר ודרך לפנות לבירור; במצב דחוף אפשר לפעול תחילה כדי להגן על השירות והמשתמשים.

נפרסם שינויים בתנאים עם תאריך וגרסה חדשים. שינוי שמצריך הסכמה חדשה יובא לאישור לפני החלתו. תנאים אלה אינם מתירים להתחיל לגבות תשלום ללא הסכמה נפרדת. לבירור או תלונה אפשר לפנות ל־gilad@markman.co.il.

EditorLM Terms of Use — Free Trial

1. Service and operator

EditorLM is operated by G.O. Markman Holdings LLC ("we"), a company organized in Massachusetts, United States. Our address is 93 Goodell Street, Belchertown, MA 01007, USA. Contact us about the service or these terms at gilad@markman.co.il.

EditorLM helps organize and process sources in a personal cloud workspace, search them, and work with AI tools to create source-grounded documents. These terms cover the website, account and EditorLM components provided during the free trial. Trial activation requires acceptance of these terms and presents our Privacy Policy. External providers' terms apply separately to their services.

2. Account and trial

Registration and trial activation take place on the website using a verified email address and security checks. Provide accurate information, protect access to your email and account, and tell us if access credentials are exposed. You need appropriate authority to act for an organization.

Before activation, the offer shows your trial duration, credit allowance and included packages. The offer you accept defines your terms; a personal invitation or group code may provide different terms. The allowance and duration are set in your offer, not in this document. Your account shows the expiry date and balance. Credits are EditorLM service usage units, are not money, have no cash redemption value and are separate from your agent provider allowance.

The trial requires no payment card, carries no automatic charge and does not convert into a paid subscription. An external agent provider is paid separately. A future purchase through Paddle requires a separate action and agreement to the paid offer terms.

Do not bypass trial limits through repeated registrations, unauthorized invitations or group codes, or interference with security controls. Eligibility checks cannot guarantee detection of every repeat registration.

3. Credit usage, access and retention

Cloud machine time, embedding and paid OCR operations share the credit balance at the displayed rates. A new semantic-search query may also require embedding. Credits do not guarantee a number of working hours. Additional gift allocations may have separate expiry dates; a gift does not itself extend your access period.

Zero credit or missing entitlement prevents ordinary activation of the cloud workspace and ordinary file access through the editor. Unused trial credit expires at trial expiry and does not carry over to another trial. A multi-step process started before entitlement expires is not guaranteed to finish afterwards. You may request an extension or further access; approval is not guaranteed.

A warning appears after 30 minutes without editor activity or background work. After 45 minutes total, the session disconnects, subject to saved edits and no background work, and normal shutdown applies. Machine-time consumption ends when shutdown and release of compute resources are verified, rather than when a browser tab is closed.

After 48 continuous hours of verified shutdown and release of compute resources, the VM and system disk are deleted. The personal disk is retained to restore a workspace on a new machine; this does not back up the system disk.

Trial data is scheduled for deletion 90 days after trial expiry if neither a paid subscription nor a free license was granted, with notices 30 and 7 days beforehand. An empty trial workspace, with no project created or source uploaded, is scheduled for deletion 7 days after trial expiry, with one notice. Requests and retention holds are considered before deletion under the Privacy Policy.

You may submit a documented legal request for data delivery through an administrator even with zero credit or expired access, under the Privacy Policy. This process does not require a purchase or provide ordinary editor access. It does not promise recovery of information already lawfully deleted.

4. Your content and permissions

Your content remains yours or its respective rights holders'. We do not require transfer of ownership. To the extent needed for an operation you select or authorize, you permit processing of the relevant content for that operation as described in the Privacy Policy. This does not grant us a general right to publish your content.

You are responsible for having permission to process material and send it to the providers involved, including medical information, client data and confidential content. Do not send support sensitive documents unnecessary for your request. Keep your own backups: cloud project storage does not replace your own independent backups.

Do not use the service unlawfully, violate others' rights, access accounts without permission or disrupt the service. Third-party and open-source components remain subject to their respective licences.

5. Cloud workspace and external providers

Sources, processed text, documents and the search index reside in your personal Azure workspace. The account database and skill service are not repositories of project documents. For embedding and semantic search, text excerpts or queries pass through the EditorLM gateway to OpenAI; numerical results return to the index in your personal workspace. Relevant usage consent enables automatic embedding maintenance after sources are added or corrected, without separate approval for every file.

When OCR is needed, content from the pages requiring recognition is sent to Azure Document Intelligence. Ordinary conversion of extractable text is not itself a paid OCR operation. Provider processing is also subject to their terms and the Privacy Policy.

Your selected agent tool, such as Codex or another tool, may process text or images through its own provider according to your permissions and settings. Your EditorLM account does not replace that provider account. See the Privacy Policy for further details.

6. Results and availability

The system and AI tools can make mistakes, omit information or produce references that do not support a conclusion. Check results and original sources before relying on them. The system does not replace professional advice or medical, legal or other professional judgment.

The trial is a beta service. Errors, maintenance and changes may occur; uninterrupted availability and particular outcomes are not guaranteed. Where possible, we will notify you of material changes or an expected discontinuation. Nothing in these terms excludes liability or rights that applicable law does not allow to be excluded.

7. Stopping use and changes

You may stop using the service at any time and contact us to close your account. Closure ends service access; subsequent data handling is described in the Privacy Policy. Closing the browser tab or allowing a trial to expire does not itself request account deletion.

We may restrict or suspend access for misuse, security risks or legal requirements. Where circumstances permit, we will explain and provide a way to seek review; urgent protective action may come first.

We will publish revised terms with a new date and version. Changes requiring renewed agreement will be presented for acceptance before applying them. These terms do not authorize paid charges without separate agreement. Contact gilad@markman.co.il with questions or complaints.
